Terms of service
RAY CABINETRY LLC TERMS AND CONDITIONS
Effective Date: October 3, 2026
These Terms and Conditions govern purchases and services from Ray Cabinetry LLC through the Ray Cabinetry website, written quotes, invoices, design documents, and related communications.
“Ray Cabinetry,” “RC,” “we,” “us,” and “our” mean Ray Cabinetry LLC. “Customer,” “you,” and “your” mean the individual or entity purchasing products or services from RC.
By placing an order, approving a quote or design, paying an invoice, checking an acknowledgment box, or authorizing work, you agree to these Terms and Conditions and any policies incorporated into them.
-
ELIGIBILITY AND ACCEPTANCE
You must be at least 18 years old and legally able to enter into a binding agreement. If you purchase for a company, contractor, property owner, or another entity, you represent that you are authorized to bind that party.
Electronic approvals, checked boxes, signatures, payments, and written approvals sent by email or text may constitute acceptance to the extent permitted by law.
-
PRODUCT INFORMATION AND AVAILABILITY
RC resells cabinetry and related products manufactured or supplied by third parties, including Highland Cabinetry.
Product descriptions, illustrations, dimensions, colors, finishes, specifications, inventory, and availability are based on supplier information and may change. Nominal dimensions and photographs are illustrative. Actual products may vary within normal manufacturing tolerances.
Wood, paint, stain, laminate, and other finishes may vary in color, grain, texture, sheen, and aging. Lighting, screens, photography, dye lots, natural material variation, and later replacement orders can create visible differences. These normal variations are not defects unless the manufacturer determines otherwise.
-
QUOTES, PRICING, AND TAXES
Prices are shown in U.S. dollars and may change until an order is accepted and paid. A quote is valid only for the period stated on that quote.
RC may correct typographical, pricing, configuration, or calculation errors before submitting an order to the supplier. RC will notify the Customer of any material correction.
Applicable sales tax, shipping, delivery, assembly, measurement, design, installation, permit, disposal, and other charges will be added as stated in the cart, checkout, quote, or invoice.
-
MEASUREMENTS AND SITE CONDITIONS
Cabinetry depends on accurate measurements and field conditions.
If RC performs a paid field measurement, the scope and credit terms are governed by RC’s Measurement, Design, and Installation Responsibility Policy.
Concealed or later-created conditions—including framing, plumbing, electrical systems, flooring, walls, ceilings, appliances, vents, trim, utilities, and out-of-square conditions—are outside a standard visual measurement unless expressly included in writing.
If the Customer supplies measurements, appliance specifications, plans, or site information, or declines RC’s measurement service, the Customer is responsible for the completeness and accuracy of that information.
RC is not responsible for ordering, design, fit, delay, replacement, or installation problems caused by inaccurate, incomplete, changed, or undisclosed Customer information.
-
DESIGN AND CUSTOMER APPROVAL
Designs, renderings, elevations, cabinet lists, and layouts are planning tools. They may not depict every construction detail, filler, clearance, appliance condition, field adjustment, or actual color variation.
Before ordering, the Customer must review and approve the final:
• Layout and design
• Cabinet list and product codes
• Door style and color
• Dimensions and quantities
• Door swings and hinge directions
• Accessories and organizational components
• Finished ends
• Moldings, panels, and fillers
• Appliance specifications and clearances
• Assembly selection
• Shipping, delivery, or pickup method
If RC is not retained to provide design services, the Customer assumes responsibility for the design and cabinet list.
RC is not responsible for design errors, omissions, conflicts, or resulting order issues arising from plans or selections prepared, supplied, or approved by the Customer or another designer.
-
ORDER FINALITY, CANCELLATIONS, AND CHANGES
An order becomes final and non-cancelable when RC submits the order to or pays the supplier.
Before supplier submission, a cancellation requires RC’s written approval. Any approved refund will be reduced by payment-processing fees, completed measurement or design services, supplier charges, and other nonrecoverable costs.
After supplier submission, changes and cancellations are not guaranteed.
If RC and the supplier approve a requested change, the Customer must pay:
• A change-order fee equal to 25% of the value of the affected items
• Any product price difference
• Additional freight or delivery charges
• Additional assembly charges
• Applicable taxes
• Supplier charges
• Other administrative or nonrecoverable costs
Added or changed products may have different production, availability, or delivery dates.
-
PAYMENT
Payment is due as stated at checkout, on the quote, or on the invoice.
RC may suspend ordering, product release, delivery, pickup coordination, design, assembly, or installation until cleared funds are received.
A chargeback does not replace the claim procedures established by these Terms and Conditions. The Customer must promptly contact RC and provide a reasonable opportunity to investigate and resolve any concern.
-
SHIPPING, DELIVERY, AND PICKUP
Shipping, delivery, and warehouse pickup are governed by RC’s Shipping and Delivery Policy and Highland Warehouse Pickup Policy.
Availability, assembly, shipment, delivery, and pickup dates are estimates and are not guaranteed.
The Customer must:
• Provide accurate contact and address information
• Provide safe and lawful access
• Use an appropriate pickup vehicle when applicable
• Inspect all products promptly
• Retain packaging when reporting a claim
• Follow carrier and warehouse procedures
-
ASSEMBLY
Optional cabinet assembly costs $30 per eligible cabinet unless a written quote states otherwise.
Assembly applies only to cabinet units identified as eligible by RC. It does not apply to fillers, panels, moldings, trim, trays, loose accessories, or other non-cabinet products.
Assembly is not installation.
Typical supplier lead times are approximately:
• Unassembled cabinets: 1–3 business days
• Assembled cabinets: approximately two weeks
These times are estimates only and may change based on supplier availability, workload, backorders, holidays, transportation, or other circumstances.
-
INSTALLATION AND OTHER CONTRACTORS
Installation is included only when stated in a separate written RC proposal or agreement.
The Customer is responsible for jobsite readiness and coordinating demolition, disposal, plumbing, electrical work, countertops, flooring, painting, appliances, permits, and other trades unless those services are expressly included in RC’s written scope.
If RC does not install the cabinets, the Customer is responsible for selecting, supervising, and paying the installer.
RC is not responsible for damage, defects, unsafe work, improper installation, modifications, misuse, code violations, or warranty loss caused by the Customer, a third-party installer, or another trade.
The installer must inspect the products and site conditions before assembling, modifying, or installing any item.
-
INSPECTION, DAMAGE CLAIMS, AND WARRANTY
The Customer must inspect every item before assembly, modification, and installation.
Visible damage, shortages, or incorrect items must be reported to RC within 48 hours after pickup or delivery.
The Customer must provide:
• The order or invoice number
• The affected product code and quantity
• A description of the problem
• Clear photographs of the product
• Photographs of the packaging and labels
• Photographs of the surrounding conditions when relevant
All packaging must be retained until RC or the manufacturer confirms that it may be discarded.
Concealed defects or manufacturer-warranty issues must be reported promptly after discovery and within the applicable warranty period.
Products carry only the applicable manufacturer’s warranty. RC will reasonably assist with an eligible claim but does not create, expand, or extend any manufacturer warranty.
Manufacturer warranty terms, remedies, exclusions, documentation requirements, and decisions control.
Labor, removal, reinstallation, travel, freight, storage, finishing, countertops, plumbing, electrical work, and consequential expenses are excluded unless expressly covered in writing by the manufacturer or RC.
-
RETURNS
Cabinetry and related products are final sale unless RC gives prior written return authorization or a manufacturer’s warranty requires a remedy.
The following products are nonreturnable unless required by law or specifically approved by the manufacturer:
• Custom products
• Special-order products
• Assembled products
• Modified products
• Installed products
• Opened products
• Damaged products
• Discontinued products
• Clearance products
An approved return must comply with the supplier’s eligibility, condition, packaging, and deadline requirements.
Approved returns may be subject to restocking fees, return freight, handling charges, payment-processing fees, supplier charges, and other nonrecoverable costs.
-
DELAYS AND CIRCUMSTANCES BEYOND RC’S CONTROL
RC is not responsible for delay or nonperformance caused by supplier availability, backorders, freight interruptions, weather, casualties, labor disruption, governmental actions, utility interruptions, public health emergencies, material shortages, carrier actions, or other circumstances beyond RC’s reasonable control.
The Customer should not schedule demolition, installers, countertop templating, other trades, property occupancy, or dependent work based solely on an estimated availability or delivery date.
Dependent work should be scheduled only after every required product has been received, opened, and inspected.
-
LIMITATION OF LIABILITY
To the fullest extent permitted by law, RC is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including:
• Lost use
• Lost profits
• Project delay
• Alternate housing
• Missed appointments
• Trade rescheduling
• Project disruption
• Damage caused by another person or contractor
RC’s total liability for a product claim will not exceed the amount paid to RC for the affected product.
RC’s total liability for a service claim will not exceed the amount paid to RC for the affected service.
These limitations do not apply where prohibited by law.
-
CUSTOMER INDEMNITY
To the extent permitted by law, the Customer agrees to defend, indemnify, and hold RC harmless from third-party claims arising from:
• Measurements, plans, or information supplied by the Customer
• Unauthorized product modifications
• Unsafe jobsite conditions
• Customer-selected installers or contractors
• Product misuse
• The Customer’s violation of law
This provision does not apply to the extent a claim was caused by RC’s negligence or willful misconduct.
-
INTELLECTUAL PROPERTY
RC retains ownership of its original design files, drawings, renderings, photographs, text, website content, and other creative materials, subject to applicable third-party rights.
After full payment, the Customer may use project-specific design deliverables for the project for which they were created.
The Customer may not sell, publish, reproduce, distribute, or reuse RC’s materials for another project without RC’s written permission.
-
COMMUNICATIONS AND RECORDS
The Customer must provide accurate contact information and monitor communications regarding the order.
Approvals and notices may be transmitted through email, text, a website account, an invoice system, or another agreed electronic method.
RC’s written order documents control over oral statements.
The Customer should retain all quotes, approvals, invoices, designs, product labels, delivery documents, and claim photographs.
-
GOVERNING LAW AND DISPUTES
Colorado law governs these Terms and Conditions without regard to conflict-of-law principles.
Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute through written notice and direct discussion for at least 30 days.
Any court proceeding must be brought in a Colorado court with lawful jurisdiction and proper venue.
Nothing in this section prevents either party from seeking emergency relief or using an eligible small-claims process.
-
GENERAL PROVISIONS
If any provision of these Terms and Conditions is determined to be invalid or unenforceable, the remaining provisions remain effective. The affected provision will be enforced to the maximum extent permitted by law.
RC’s failure to enforce a provision is not a waiver of that provision.
The Customer may not assign an order or agreement without RC’s written consent.
Section headings are provided for convenience and do not limit the meaning of any provision.
These Terms and Conditions, the applicable quote or invoice, approved design documents, and incorporated RC policies form the agreement between RC and the Customer.
A project-specific agreement signed by RC and the Customer will control if it expressly conflicts with these general Terms and Conditions.
-
CHANGES TO THESE TERMS
RC may update these Terms and Conditions by posting a revised version and effective date. The version accepted with an order governs that order unless the parties agree otherwise in writing.
